Introduction
These Terms of Use constitute a binding agreement between you and Toronto Prediction Exchange Inc. (“we,” “us,” or “our”) and govern your access to and use of Toronto Prediction Exchange and any related services (the “Services”). By creating an account or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.
Eligibility and Account Registration
You must be able to form a legally binding contract under the laws of Ontario, Canada. The Services are not intended for children under the age of 13. If you are between 13 and the age of majority in your province or territory, you represent that you have the consent of a parent or legal guardian to use the Services.
To create an account, you must provide a public-facing username and a valid email address. Your username is visible to other users and to the public. You are responsible for ensuring that your username complies with these Terms and for keeping your account credentials confidential. You are responsible for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access or security incident involving your account.
Public Usernames and Profile Information
Your username will be publicly displayed and may be indexed by search engines or visible to third parties. You should not include personal information in your username or public profile that you do not wish to disclose publicly. We are not responsible for any consequences arising from information you choose to make public.
Acceptable Use
You agree to use the Services lawfully and in accordance with these Terms. You will not:
- Attempt to interfere with, disrupt, or compromise the integrity or security of the Services or any user accounts
- Engage in harassment, hate speech, threats, or other abusive conduct
- Upload or share content that is unlawful, defamatory, obscene, infringing, or otherwise violates the rights of others, including privacy, publicity, and intellectual property rights
- Impersonate any person or entity or misrepresent your affiliation
- Use automated means to access the Services except as permitted by our documented APIs
User Content and License
You retain ownership of content you submit, post, or display on or through the Services (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content as reasonably necessary to operate, improve, and promote the Services. You represent and warrant that you have all rights necessary to grant this license and that your User Content and use of the Services comply with applicable law and these Terms.
Moderation and Enforcement
We may, but are not obligated to, review, monitor, or moderate User Content. We may remove or refuse to display User Content and may suspend or terminate accounts if we believe there is a violation of these Terms, applicable law, or risk of harm to users, us, or third parties. We may preserve and disclose information if required by law or if we believe it is reasonably necessary to protect rights, safety, or property.
Intellectual Property
The Services, including all software, text, designs, logos, trademarks, and other materials (excluding User Content), are owned by us or our licensors and are protected by intellectual property laws. You may use the Services only as permitted by these Terms and applicable law. You must not copy, modify, distribute, sell, or lease any part of the Services or reverse engineer or attempt to extract the source code except as permitted by law.
Copyright Notices
If you believe content on the Services infringes your copyright, you may submit a notice to our designated contact identified below. Your notice should include sufficient detail to identify the work claimed to be infringed, the allegedly infringing material, where it is located, and your contact information. We may implement measures consistent with applicable Canadian copyright laws, including notice-and-notice procedures, and may remove or disable access to content in appropriate circumstances.
Communications and Email
By providing your email address, you consent to receive service-related communications, including account verification, security alerts, and transactional messages. We may also send you promotional or marketing communications where permitted by law and with your consent where required. You can unsubscribe from marketing emails using the unsubscribe link in the message. Even if you opt out of marketing, we may still send non-promotional emails related to your account or the Services.
Third-Party Services and Links
The Services may include links to third-party websites or services that are not controlled by us. We are not responsible for the content, policies, or practices of those third parties. Your use of third-party services is at your own risk and may be subject to additional terms and privacy policies.
Service Changes and Availability
We may change, update, or discontinue all or part of the Services at any time without notice. We do not guarantee that the Services will be available at all times or without interruption. We reserve the right to impose limits on certain features or restrict access to parts or all of the Services.
Disclaimers
The Services and all content are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be error-free, secure, or uninterrupted, or that any content will be accurate or reliable.
Limitation of Liability
To the fullest extent permitted by law, we and our affiliates, officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Services. To the extent liability cannot be excluded, our aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of one hundred Canadian dollars (CAD $100) or the amount you paid to us, if any, in the twelve months preceding the event giving rise to the claim.
Indemnity
You agree to indemnify and hold harmless Toronto Prediction Exchange Inc. and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your User Content, your use of the Services, or your violation of these Terms or applicable law.
Termination
You may stop using the Services and may request to close your account at any time, subject to any specific procedures we make available. We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, pose a risk, or if required by law. Upon termination, provisions that by their nature should survive will survive, including ownership, disclaimers, limitations of liability, and indemnity.
Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You and we submit to the exclusive jurisdiction of the courts located in Ontario, Canada, to resolve any dispute or claim.
Changes to These Terms
We may modify these Terms from time to time. Changes will be effective as of the “Effective Date” above or as otherwise stated. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

Overview
This Privacy Policy describes how Toronto Prediction Exchange Inc. (“we,” “us,” or “our”) collects, uses, discloses, and protects personal information in connection with Toronto Prediction Exchange and related Services. Personal Information We Collect

We collect account information such as your public username and your email address. Your username is publicly visible. You may also choose to provide profile information, preferences, or other content that may be public depending on your settings.

We do not intentionally collect sensitive personal information unless you choose to provide it and it is necessary for the purposes described in this Policy. Please do not include sensitive information in your public username or public profile.
How We Use Personal Information
We use personal information to operate, provide, and improve the Services, including creating and managing accounts, providing customer support, and personalizing content and features.
We use your email address to send service-related communications such as account verification, security alerts, and transactional messages. With your consent where required, we also send promotional communications. You may opt out of marketing communications at any time using the unsubscribe link contained in those messages.
